TERMS AND CONDITIONS

QUOTATIONS
1.1 All quotes are valid for 30 days from the date of the quotation. If acceptance is received after this period has lapsed, the job may be required to be requoted.
1.2 Unless specifically stated otherwise, all quotations are based on costs of labour and materials at the date of the quotation and is subject to price variation.
1.3 The Customer must communicate acceptance of the quotation before Works will be scheduled.

 

AGREEMENT

1. ACCEPTANCE
1.1 Any instructions from the Customer placing a work order or accepting a quote shall constitute acceptance of these terms and conditions.
1.2 These terms and conditions may only be altered by agreement between the parties, in writing.

 

2. PAYMENT TERMS
2.1 Vertical Impact will issue an invoice to the Customer, which must be paid upon completion of the works, unless otherwise stated on the invoice.
2.2 If the invoice is not paid upon completion of the works (or within the period specified on the invoice), the payment will be considered in default (“Payment Default”).
2.3 Payment Defaults will be charged interest at a rate of 2.5% per 30 days until the date of payment
2.4 Payment defaults that are 30 days or more overdue may be handed over to a debt collection agency or solicitor.
2.5 Any costs incurred by Vertical Impact in obtaining payment of outstanding invoices including legal costs and/or collection agency fees will be the sole responsibility of the Customer.
2.6 Works that exceed $2500 require a deposit of 50% to secure an installation date and procurement of materials. The remaining balance is due upon completion of the installation unless otherwise agreed.
2.7 Title to the green wall panels and all associated materials remains the property of Vertical Impact until full payment has been received. The Client shall not sell, lease, or otherwise encumber the goods until ownership has transferred.

 

3. SCOPE OF WORK
3.1 Vertical Impact agrees to design, supply, and install a vertical garden system as per the specifications agreed upon in the proposal or quotation.
3.2 Any modifications requested after work has commenced may be subject to additional charges.
3.3 Vertical Impact is not responsible for existing structural conditions that may affect the installation unless specifically included in the agreement.

 

4. CLIENT RESPONSIBILITIES
4.1 The Client must ensure the site is prepared and accessible for installation.
4.2 Any necessary permits, approvals, or consents must be obtained by the Client prior to installation.
4.3 The Client is responsible for ongoing maintenance of the garden unless a maintenance agreement is arranged with the Vertical Impact.

 

5. INSTALLATION AND COMPLETION
5.1 Vertical Impact will endeavour to complete the installation within the agreed timeframe, subject to weather conditions and unforeseen circumstances.
5.2 Delays caused by the Client (e.g., site inaccessibility, failure to obtain permits) may result in additional charges.
5.3 Upon completion, a final inspection will be conducted to ensure quality and adherence to the agreement.

 

6. WARRANTIES AND LIABILITY
6.1 Vertical Impact provides a warranty of 12 months on workmanship and 12 months on materials, subject to proper maintenance.
6.2 Warranty cover does not extend to goods not supplied by Vertical Impact, improper care, environmental factors, physical damage to products, or any instance where the original installation has been altered or tampered with subsequently by third parties.
6.3 Vertical Impact is not liable for indirect or consequential damages arising from the installation.

 

7. MAINTENANCE AND CARE
7.1 The Client is responsible for regular cleaning of an artificial vertical garden and/or watering, pruning, and fertilization of a living vertical garden unless a maintenance service is contracted.
7.2 Vertical Impact may offer periodic maintenance services at an additional cost.

 

8. CANCELLATION AND TERMINATION
8.1 The Client may cancel the agreement before work commences, subject to a cancellation fee.
8.2 The Customer may at its option cancel the Works, or any part thereof, at any time. The Customer will be liable to pay for materials and services provided to the date of cancellation.
8.3 The Vertical Impact reserves the right to terminate the agreement if the Client breaches any terms, including non-payment.

 

9. LIMITATION OF LIABILITY AND EXCEPTED RISK
9.1 The Customer acknowledges that they have made their own assessment as to the condition quality, value, suitability, and fitness for the purpose of Vertical Impact.
9.2 Vertical Impact shall not be liable or be deemed to be in breach of contract by reason of any delay in performing, or any failure to perform any of the Works if the delay or failure was due to any cause beyond Vertical Impact’s control, including but not limited to an act of god, government act, fire explosion, accident, discovery of hazardous material, strikes, or supplier delays.
9.3 Vertical Impact shall be under no liability whatsoever to the Customer for any indirect and/or consequential loss and /or expense (including loss of profit) suffered by the Customer arising out of a breach of these Terms and Conditions.
9.4 In the event of any breach of this contract by Vertical Impact the remedies of the Customer shall be limited to damages which under no circumstances shall exceed the Price.
9.5 The Customer shall not be entitled to set off against, or deduct from the Price, sums owed or claimed to be owed to the Customer by Vertical Impact nor to withhold payment of any invoice because part of that invoice is in dispute.

 

10. GOVERNING LAW
10.1 This Agreement shall be governed by the laws of Victoria. Any disputes shall be resolved in the appropriate courts of the state of Victoria.

 

11. DEFINITIONS
11.1 ” Vertical Impact” refers to Vertical Impact (ABN 16 573 413 213) the provider of the services.
11.2 “Client” refers to the individual or entity purchasing the services.
11.3 “Agreement” refers to this contract, outlining the terms and conditions of service.
11.4 “Installation” refers to the vertical garden system provided and installed by the Company.
11.5 “Site” refers to the location where the installation is to be performed.

Price Match Guarantee

1. Eligibility Criteria

  • The competing product or service must be identical in terms of quality, materials, size, and installation scope.
  • The price match applies to Australian-based retailers or service providers only.
  • The competitor’s price must be current, publicly advertised, and verifiable at the time of the price match request.

 

2. Exclusions

  • Prices from auction websites, marketplace sellers (e.g., eBay, Amazon, Facebook), clearance sales, or liquidation events are not eligible.
  • Offers that include bundles, package deals, trade discounts, promotional codes, or special financing terms do not qualify.
  • Custom designs or variations that differ in material, installation method, or warranty coverage are excluded.

 

3. How to Claim a Price Match

  • Customers must provide written proof (e.g., website link, advertisement, or formal quote) of the competitor’s lower price.
  • The competitor’s quote must be dated within the last 14 days and include all relevant details.
  • All price match requests must be approved before purchase; we cannot offer refunds or price adjustments on past purchases.

 

4. Additional Terms

  • We reserve the right to verify competitor pricing and refuse any request that does not meet our criteria.
  • Our price match guarantee does not apply to installation costs, labour fees, or delivery charges unless specifically stated.
  • If approved, we will match the price or offer a better deal at our discretion.
  • The Price Match Guarantee cannot be combined with any other discounts, promotions, or special offers.
